Default 32Gb Micro SD Card - Good News Bad News

Yes, I was foolish enough to drop 2 bones for it. Good news, it works. Bad news my 8900 running 5.0.0.681 formats it only to 29.7Gb

Sounds about right. My 8 GB formats to 7.4GB; 2 GB to 1.8 GB.

Thats the same for most storage devices including a Hard drive. Always some space is needed for organization.

No, it's got nothing to do with "organization".
The discrepancy is due to a decimal to binary conversion.

32gb = 32,000,000,000 bytes according to humans who use the decimal system.
However, computers don't speak decimal... they speak binary.
A binary gigabyte isn't 1,000,000,000 bytes. It's actually 1024^3, or 1,073,741,824 bytes.

32,000,000,000 / 1,073,741,824 = 29.8GB
